We collect the following categories of personal data when you interact with our services:
- Contact Information: Name, email address, phone number
- Project Data: Project specifications, requirements documents, and communication logs
- Technical Data: IP address, browser type, operating system, and referral URLs
- Payment Data: Transaction records processed through our payment partners (Stripe)
3. Legal Basis for Processing
Under Article 6 of the EU General Data Protection Regulation (GDPR), we process your data based on: (a) Performance of a contract (Article 6(1)(b)) — when you engage our web development services; (b) Legitimate interest (Article 6(1)(f)) — for improving our service delivery and maintaining security; (c) Consent (Article 6(1)(a)) — when you subscribe to newsletters or accept non-essential cookies.
4. Data Retention
We retain your personal data only for as long as necessary to fulfill the purposes for which it was collected. Project-related data is retained for 5 years after project completion to comply with accounting and tax obligations under Danish law. Marketing consent data is retained until you withdraw consent.
5. Your Rights Under GDPR
Under EU GDPR, you have the following rights regarding your personal data:

- Right to Erasure (Article 17): Request deletion of your personal data

6. International Data Transfers
Your data may be transferred to and processed in countries outside the European Economic Area (EEA). When this occurs, we ensure appropriate safeguards are in place, including Standard Contractual Clauses (SCCs) approved by the European Commission, to protect your personal data in accordance with Chapter V of the GDPR.
7. Data Security
codenovae implements appropriate technical and organizational measures to protect your personal data, including: encryption of data in transit (TLS 1.3) and at rest; access controls and authentication mechanisms; regular security assessments and penetration testing; employee training on data protection practices.

Refund Policy
1. Project Milestones
All web development projects at codenovae are structured around clearly defined milestones with associated payment schedules. Refunds are evaluated based on the completion status of project milestones at the time of cancellation request.
2. Cancellation Before Work Begins
If you cancel a project before any development work has commenced, you are entitled to a full refund of any advance payments made within 14 business days. This does not apply to non-refundable administrative fees or third-party service costs already incurred on your behalf.
3. Cancellation During Active Development
Projects cancelled after work has commenced will be invoiced proportionally based on the milestone completion percentage. All completed work and intellectual property developed up to the cancellation date will be transferred to you upon final payment. No refund is available for work already delivered and accepted.
4. Quality Disputes
If you believe the delivered work does not meet the agreed specifications outlined in the project brief, you must notify codenovae within 7 days of delivery. We will review the dispute and, if warranted, either rectify the deliverables or issue a proportional credit toward future work. Disputes not raised within 7 days of delivery are considered accepted.
5. Third-Party Costs
Non-refundable costs include: domain registrations, hosting prepayments, SSL certificates, stock media licenses, API subscription fees, and any other third-party services procured specifically for your project. These costs are itemized separately in all invoices.
6. Refund Processing
Approved refunds are processed within 14 business days using the original payment method. If the original payment method is unavailable, an alternative arrangement will be agreed upon in writing. All refunds are subject to applicable currency conversion rates at the time of processing.
Terms of Service
1. Agreement to Terms
By engaging the services of codenovae, registered at Amagerbrogade 120, 2300 København S, Danmark, Danmark, you agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you (the Client) and codenovae (the Provider).
2. Scope of Services
codenovae provides web development, design, and infrastructure services as described in individual project proposals and statements of work. Each project is governed by its own scope document, which forms an integral part of this agreement. Any work outside the agreed scope will be quoted separately and requires written approval before commencement.
3. Payment Terms
Invoices are issued according to the milestone schedule defined in the project proposal. Payment is due within 14 days of invoice date. Late payments accrue interest at 1.5% per month. codenovae reserves the right to suspend work if payments are more than 21 days overdue.
4. Intellectual Property
Upon receipt of full payment for all milestones, codenovae assigns to the Client all intellectual property rights in the delivered work, including source code, design assets, and documentation. codenovae retains the right to display the work in portfolio materials unless explicitly prohibited in writing. Third-party libraries and frameworks remain subject to their original licenses.
5. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information exchanged during the project. This includes business strategies, technical specifications, source code, and client data. This obligation survives the termination of the agreement for a period of 3 years.
6. Limitation of Liability
codenovae's total liability under any agreement shall not exceed the total fees paid by the Client for the specific project giving rise to the claim. codenovae shall not be liable for indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
7. Warranty
codenovae warrants that all delivered work will be free from material defects for a period of 90 days following final delivery. During this period, we will rectify any defects at no additional cost. This warranty does not cover issues arising from client modifications, third-party integrations, or hosting environment changes.
8. Termination
Either party may terminate this agreement with 14 days written notice. Upon termination, the Client pays for all work completed up to the termination date. All completed work and associated IP will be transferred to the Client upon receipt of final payment. codenovae may terminate immediately if the Client breaches material terms or fails to make payment within 30 days of the due date.
9. Governing Law
These Terms of Service are governed by the laws of Denmark. Any disputes arising from or relating to these terms shall be subject to the exclusive jurisdiction of the courts of Copenhagen, Denmark. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply to this agreement.
10. Amendments
codenovae reserves the right to amend these Terms of Service at any time. Material changes will be communicated to active clients via email at least 30 days before taking effect. Continued engagement after the amendment date constitutes acceptance of the revised terms.
